T-RIZE Group announced that Particula GmbH, has assigned a pre-issuance B+ risk rating* to the Kairos Credit-Enhanced Secured High-Yield Digital Loan Note ($KAI18-1) as of March 20, 2026.
— The instrument is a secured senior debt obligation of Kairos Litigation Limited, backed by cash flows generated from a portfolio of UK litigation finance receivables.
According to Particula, the rating reflects the transaction’s bankruptcy-remote structure, onchain compliance and governance framework, and credit enhancement package, including principal protection through a performance bond and After-the-Event (ATE) insurance coverage.
Particula also identifies key constraints, including sponsor leverage, execution risk, exposure to unrated borrowers, and considerations related to ecosystem maturity.
The issuance utilizes digital infrastructure provided by T-RIZE Group on the Canton Network. Distribution is expected to be conducted through compliant broker-dealers in the relevant jurisdictions.
The transaction framework also includes OPPA Limited acting on behalf of noteholders with respect to the security package and related account control arrangements.
For institutional market participants, the pre-issuance risk rating provides an independent assessment of both the assigned risk grade and the structural architecture underlying the issuance.
The Kairos structure combines a bankruptcy-remote SPV, insured risk mitigation layers, governed issuance controls, credential-based transfer restrictions, multi-signature administration, and a T-RIZE issuance architecture built on Canton Network.
These structural elements were among the factors assessed as part of Particula’s independent review and are supporting the level of structuring, control, and process discipline expected in sophisticated private credit markets.
